Agility Robotics clears shareholder vote for $2.5bn SPAC listing

Churchill Capital Corp XI shareholders approved the Agility Robotics SPAC merger on 2 November, with >84% backing. The deal is expected to give the humanoid robot maker about $465m before expenses, down from more than $620m at the June announcement.

Agility Robotics clears shareholder vote for $2.5bn SPAC listing

Agility is about to become a listed company. Its share price will sit as a daily verdict on its deployment claims. Buyers get a supplier with named customer sites, but no revenue figure. Agility has not said how much of its more than $300m in committed multi-year orders for Digit 5 it will recognise, or when.

The vote and the listing

Churchill Capital Corp XI expects the deal to close on 4 November. The combined company is set to start trading on Nasdaq on 5 November under the ticker AGLT. The vote clears a major hurdle before the merger.

What the cash is for

Agility now expects about $164m from Churchill's trust account and about $201m from a PIPE led by Foxconn. A further $100m came in equity funding after the initial SPAC announcement. The original transaction valued Agility at a $2.5bn pre-money equity value. Existing shareholders will roll their equity into the combined company rather than take cash. Agility says the money will support commercial expansion, customer deployments and manufacturing capacity. Its RoboFab plant in Salem, Oregon has a design capacity of up to 10,000 robots a year.

Deployment evidence, not just a roadmap

Digit robots already work in 9 customer environments. Logistics and manufacturing are the primary commercial markets. One of its most established relationships is with GXO Logistics, which signed a multi-year Robots-as-a-Service agreement in 2024.

In October the companies announced an expansion to GXO sites in Statesville, North Carolina, and Lebanon, Tennessee. Deployments should begin in early 2027 using Digit 4. Digit has moved more than 100,000 totes at GXO's Flowery Branch, Georgia warehouse. Agility says its robots have logged more than 65,000 hours of operation across deployments, TechRepublic reported. Agricultural equipment maker AGCO signed a commercial agreement in October to pilot Digit at its Hesston, Kansas plant from 2027.

The wider race for factory deployment

Tutor Intelligence raised $75m in Series B funding led by Andreessen Horowitz, bringing total capital raised to $117m. Tutor says twice as many of its robots are working in almost four times as many facilities as a year ago. It is on track to have more than 1,000 robots under contract by the end of 2027. Bleu Robotics raised a €5m pre-seed co-led by Contrarian Ventures and OVNI Capital. Its abductive learning model lets a robot learn a task from as few as ten operator demonstrations. Bleu wants to cut full deployment to an hour or less.

Schaeffler and Wandelbots are developing the NOVA open platform for Schaeffler's plants worldwide. They target cutting automation life cycle costs by up to 40%. Toyota is weighing about ¥1 trillion ($6.4bn) a year in factory automation from 2028. It would cover around 400,000 robots across Toyota, group companies and suppliers. That figure is an estimate, not a confirmed commitment. AGIBOT has proposed Worken, a measure that multiplies active robots by autonomous working hours and an output efficiency ratio.

What happens next

GXO's new deployments should start in early 2027 with Digit 4 and move to Digit 5 once it is commercially available. AGCO's Hesston pilot should also begin in 2027. Agility targets early access for Digit 5 in the first half of 2027 and general availability at the end of that year.
